Creator Agreement

This Creator Agreement ("Agreement") is between you ("Creator", "you") and Speccraft Media Ltd. ("Speccraft", "we", "us"), and governs your use of Noizes Studio to create, publish, and sell releases on the Noizes Exchange. This Agreement supplements the Terms of Service — in the event of a conflict, this Agreement prevails for Creator-specific matters.

1. Identity Verification

Before publishing any release, you must complete our Know Your Customer (KYC) verification process. This requires submitting a government-issued photo ID and a matching selfie. Your documents are stored securely in a private storage bucket and are only reviewed by authorised Noizes personnel.

You agree that the identity information you provide is accurate and current. Providing false identity information is grounds for immediate account termination and forfeiture of unpaid earnings.

2. Content Ownership & Licence Grant

You retain full ownership of all music, artwork, lyrics, and other creative content you upload to Noizes. We do not claim any copyright or ownership interest in your content.

By publishing a release on Noizes, you grant Speccraft a worldwide, non-exclusive, royalty-free licence to:

• Host, store, and deliver your content through the Platform, including the Exchange and Drop Pages.
• Package your content into the .nz format and distribute it to Collectors who acquire editions.
• Display your artist name, artwork, and release metadata for promotional and discovery purposes on the Platform.
• Generate previews, thumbnails, and excerpts of your content for display on the Exchange.

This licence lasts for as long as your content remains published on the Platform. If you withdraw a release, the licence ends, except that Collectors who have already acquired editions retain their personal-use licence to those editions.

3. Rights Declaration & Authority

For each release, you must declare the rights basis for every component (audio, artwork, lyrics, etc.) using the Studio's rights declaration system. By publishing, you confirm that:

• You own or have obtained all necessary rights, licences, and permissions for every component of the release.
• Your release does not infringe the copyright, trademark, privacy, publicity, or other rights of any third party.
• All credits and rights-holder information you provide is accurate.

Noizes records your declarations but does not verify or make legal conclusions about the validity of your rights claims. You are solely responsible for ensuring you have the authority to publish.

4. Editions & Pricing

You set the edition type (limited or open), supply (for limited editions), and price for each release. Once a release is published and editions have been sold:

• You may not increase the supply of a limited edition.
• You may adjust the price of unsold editions.
• You may withdraw unsold editions from the Exchange.

Payouts are processed manually within seven (7) business days of each sale. Payout timing may vary during the early-access period as we build automated disbursement. We will notify you before any changes to payout procedures.

All payouts are in Kenyan Shillings (KES) unless otherwise agreed. You are responsible for any applicable taxes on your earnings.

5.3 Minimum Payout

We may set a minimum payout threshold. Any balance below the threshold carries forward to the next payout cycle. If your account is terminated or you withdraw, we will pay any outstanding balance above the threshold within 30 days.

6. Cryptographic Signing

When you publish a release, it is cryptographically signed using an Ed25519 key pair generated and managed on your behalf by the Platform. Your private signing key is encrypted at rest and is used exclusively to attest the authenticity and integrity of your releases. You acknowledge that:

• The signing key is custodial — we hold and manage it on your behalf.
• The public key is associated with your verified identity and published with your releases.
• Signatures and provenance records are permanent and cannot be deleted.

7. Withdrawal & Takedown

You may withdraw a release from the Exchange at any time, which will prevent further sales. However:

• Collectors who already own editions retain their copies and playback rights.
• Provenance records for sold editions remain in the public ledger.
• Your Drop Page URL may display a "withdrawn" notice rather than being deleted.

8. Creator Obligations

You agree to:

• Comply with the Acceptable Use Policy for all content you publish.
• Respond to copyright or rights-related enquiries about your releases in a timely manner.
• Not use the Platform to distribute content that you know infringes third-party rights.
• Not manipulate edition numbers, prices, or provenance data.

9. Indemnification

You agree to indemnify and hold harmless Speccraft Media Ltd. from any claims, damages, or expenses arising from (a) content you publish on the Platform, (b) your breach of any rights declaration, or (c) your violation of this Agreement or any applicable law.

10. Termination

Either party may terminate this Agreement at any time. Upon termination:

• Your unpublished drafts and uploads will be deleted within 30 days.
• Published releases with sold editions will remain accessible to existing Collectors.
• Outstanding payout balances will be settled within 30 days.
• Your KYC documents will be retained as required by law (see our Privacy Policy).

11. Changes to This Agreement

We may update this Agreement from time to time. We will notify you by email at least thirty (30) days before material changes take effect. If you do not agree to the updated terms, you may terminate this Agreement before they take effect.
