Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Noizes platform, including the website at noizes.xyz, the Noizes Studio, the Exchange, all associated applications, and the .nz file format (collectively, the "Platform"). The Platform is operated by Speccraft Media Ltd., a company registered in Kenya ("Speccraft", "we", "us").

By creating an account or using the Platform you agree to these Terms, our Privacy Policy, Acceptable Use Policy, and Cookie Notice. If you are a Creator, the Creator Agreement also applies.

1. Eligibility & Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use Noizes. Access is by invitation only during our early-access period. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You agree to provide accurate information during registration and to update it as needed. We may suspend or terminate accounts that contain materially inaccurate information.

2. User Roles

Collectors

Collectors can browse the Exchange, acquire editions of releases, manage their Collection, transfer editions to other users, list editions for resale, and download .nz files for offline playback.

Creators

Creators can do everything Collectors can, plus use Noizes Studio to package, sign, and publish releases. Creator accounts require identity verification (KYC). The Creator Agreement sets out the full terms for publishing and revenue.

3. The .nz Format & Editions

A .nz file is a self-contained digital package containing audio, artwork, lyrics, credits, provenance data, and an interactive experience. When you acquire an edition, you receive a personal, non-exclusive, non-transferable (except as described below) licence to access and play that edition for private, non-commercial use.

What you own: You own your specific edition — a numbered copy within a release. You may transfer or resell your edition through the Platform's built-in transfer and resale mechanisms. You may download and play the .nz file offline on your own devices.

What you do not own: Acquiring an edition does not grant you any copyright, master rights, publishing rights, or any intellectual property rights in the underlying music, artwork, or other creative content. You may not reproduce, distribute, publicly perform, sublicence, or create derivative works from the content except as expressly permitted by the Creator's chosen licence.

4. Purchases & Payments

All prices on the Exchange are in Kenyan Shillings (KES). Payments are processed by our payment partner, Paystack. By making a purchase, you also agree to Paystack's terms of service. All sales are final — refunds are only issued where required by applicable law or at our sole discretion.

Noizes retains a 15% platform fee on primary sales and resales. The remaining 85% is paid to the Creator (on primary sales) or split between the seller and the Creator (on resales, with the Creator receiving an 85% royalty on the resale margin).

5. Transfers & Resale

You may transfer an edition you own to another registered Noizes user through the Platform. You may list an edition for resale on the Exchange at a price you set. All transfers and resales are recorded in the edition's provenance chain. You may not transfer or resell editions outside the Platform.

6. Provenance & Authenticity

Every .nz release is cryptographically signed by the Creator. Every acquisition, transfer, and resale is recorded in an immutable, hash-chained provenance ledger. While we take reasonable steps to ensure authenticity, we do not guarantee that every Creator has the legal right to publish every piece of content. 7. Prohibited Conduct

You agree not to violate the Acceptable Use Policy. In addition, you may not:

• Circumvent, disable, or interfere with security-related features of the Platform.
• Use automated tools (bots, scrapers) to access the Platform without our written consent.
• Reverse-engineer, decompile, or disassemble the Platform or the .nz format beyond what applicable law expressly permits.
• Impersonate another person or entity.
• Use the Platform for money laundering, fraud, or any illegal purpose.

8. Intellectual Property

The Noizes name, logo, .nz format specification, and Platform software are owned by Speccraft Media Ltd. or its licensors. Nothing in these Terms grants you any right to use our trademarks without prior written consent.

Content uploaded by Creators remains their property, subject to the limited licence they grant to the Platform under the Creator Agreement.

9. Content Moderation

We reserve the right to review, remove, or restrict access to any content on the Platform that we reasonably believe violates these Terms, our policies, or applicable law. We are not obligated to monitor all content but may do so at our discretion.

10. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. We do not endorse or assume responsibility for any content published by Creators.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Speccraft Media Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Platform, regardless of the theory of liability.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) the amounts you paid to us in the twelve (12) months preceding the claim, or (b) KES 10,000.

12. Indemnification

You agree to indemnify and hold harmless Speccraft Media Ltd., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion, with or without notice. Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.

You may delete your account at any time by contacting us at support@noizes.xyz.

14. Governing Law & Disputes

These Terms are governed by the laws of Kenya. Any disputes arising under these Terms shall first be submitted to good-faith negotiation. If not resolved within thirty (30) days, disputes shall be submitted to the exclusive jurisdiction of the courts of Nairobi, Kenya.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Platform at least fourteen (14) days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
